Pursuant to the Effective AI, Inc. Terms of Service, the third-party terms and conditions listed below are incorporated into your agreement with Effective AI, Inc. by reference.
National Association of Insurance Commissioners (NAIC) Data Terms
The following terms and conditions (“NAIC Data Terms”) apply to Effective AI, Inc.’s (“Effective”) customers’ (“Users”) access to and use of data sourced from the National Association of Insurance Commissioners (“NAIC”) Financial Data Repository (such data, the “NAIC Data”) made available through the services provided by Effective. These NAIC Data Terms supplement and are in addition to the terms of any subscription agreement, master services agreement, or other agreement between User and Effective (the “Subscription Agreement”).
1. Proprietary Rights.
User acknowledges and agrees that the NAIC Data, including without limitation all data derived from the NAIC Financial Data Repository, is and shall remain the valuable intellectual property owned by, or licensed to, NAIC. No title to or ownership of the NAIC Data, or any part thereof, is or shall be transferred to User by reason of the Subscription Agreement or these NAIC Data Terms. User agrees to take no action adverse to the rights of the NAIC as owner of the NAIC Data and as sole copyright proprietor thereof.
2. Permitted Use.
User may access and use the NAIC Data solely for User’s own business or personal use in connection with User’s authorized use of Effective’s services. Such use includes, without limitation, viewing, querying, analyzing, and generating reports from the NAIC Data through Effective’s platform.
Notwithstanding Section 3, User may incorporate limited and insubstantial amounts of information derived from the NAIC Data in User’s own reports, presentations, and other work product prepared in the ordinary course of User’s business, provided that (i) such use is incidental to and in support of User’s own analysis and does not constitute redistribution of the NAIC Data, and (ii) such work product is not susceptible to use as a substitute for the NAIC Data or any data product offered by the NAIC.
3. Restrictions on Use.
User shall not, directly or indirectly:
- reproduce, redistribute, sublicense, sell, publish, broadcast, or otherwise make available the NAIC Data, in whole or in part, to any third party by any means, whether in raw, processed, or derived form, except as expressly permitted herein;
- use the NAIC Data to create or maintain a database or other compilation of data that serves as a substitute for, or that could reasonably be used in lieu of, obtaining the NAIC Data or any similar data directly from the NAIC or its authorized licensees;
- use the NAIC Data in connection with any information vending, data redistribution, or commercial publishing service;
- remove, obscure, or alter any proprietary notices, copyright notices, or attribution to the NAIC contained in or accompanying the NAIC Data; or
- use the NAIC Data for any unlawful or unauthorized purpose.
4. Survival.
The provisions of Sections 1, 3, and 4 of these NAIC Data Terms shall survive any termination of these NAIC Data Terms.
